Definitions
- Affiliate: The entity or individual promoting WP Zinc Plugins
- Company: WP Zinc
- Affiliate Links: unique tracking links provided by the Company that Affiliate uses to promote Company’s products or services.
Enrollment
Affiliate is deemed to have enrolled in the Affiliate Program by:
- Purchasing an active license to any WP Zinc Product,
- Publishing the Affiliate Link
The Company reserves the right to reject any Affiliate at its sole discretion.
Affiliate Responsibilities
Affiliate shall promote Company’s products or services using Affiliate Links in accordance with all applicable laws, regulations, and guidelines below.
Affiliate agrees not to engage in the following activities:
- Use of Company’s Branding: Affiliate shall not bid on or use Company’s trademarks, service marks, trade names, logos, domain names, or any variation thereof (“Company Marks”) in any search engine marketing (SEM) campaigns, including but not limited to Google Ads, Bing Ads, Yahoo Ads, etc.
- Domain Names: Affiliate shall not register or use any domain name that includes Company Marks or any confusingly similar variations thereof.
- Social Media and Paid Ads: Affiliate shall not use Company Marks or any confusingly similar variations in any social media account names, profiles, handles, or in any paid advertising campaigns without prior written consent from Company.
- Misrepresentation: Affiliate shall not misrepresent its relationship with Company, including but not limited to false claims about products, services, promotions, or endorsements.
- Unethical Practices: Affiliate shall not engage in any deceptive, misleading, or unethical practices that may damage the reputation or goodwill associated with Company or its products.
- Compliance: Affiliate acknowledges and agrees that any breach of these restrictions may result in immediate termination from the Affiliate Program and forfeiture of any accrued commissions.
Company Responsibilities
- Tracking and Reporting: Company shall track sales made by customers who purchase Company’s products or services through Affiliate Links and shall provide Affiliate with access to reports summarizing such sales.
- Commissions: Company shall pay Affiliate commissions based on sales generated through Affiliate Links in accordance with the Commissions section of this agreement
Commissions
- Affiliate shall earn commissions based on 20% of the net sales price (excluding taxes and refunds) of Company’s products or services purchased by customers referred by Affiliate through valid Affiliate Links that have cleared the 14 day refund window.
- Commissions shall be paid quarterly on the following dates, provided that the minimum commission threshold of $100 has been met:
- March 31st
- June 30th
- September 30th
- December 31st
Termination
Either party may terminate this Agreement at any time, with or without cause.
Upon termination of this Agreement, Affiliate shall immediately cease using all Affiliate Links and remove all Company trademarks and logos from Affiliate’s website and promotional materials.
